# AInvirion Contributor Assignment Agreement (CAA)

**Version 1.0 - Effective January 2026**

Thank you for your interest in contributing to AInvirion LLC ("AInvirion", "we", "us", or "our"). This Contributor Assignment Agreement ("Agreement") applies to all contributions you make to any AInvirion project.

## 1. Definitions

- **"Contribution"** means any original work of authorship, including any modifications or additions to existing work, that you submit to AInvirion for inclusion in any product or project owned or managed by AInvirion.
- **"Submit"** means any form of electronic, verbal, or written communication sent to AInvirion, including but not limited to communication on electronic mailing lists, source code control systems, and issue tracking systems.
- **"You"** (or **"Your"**) means the copyright owner or legal entity authorized by the copyright owner making this Agreement with AInvirion.

## 2. Grant of Copyright

Subject to the terms and conditions of this Agreement, You hereby assign to AInvirion:

1. **All right, title, and interest** in and to Your Contributions, including all copyrights and other intellectual property rights
2. **The exclusive right** to reproduce, prepare derivative works, publicly display, publicly perform, sublicense, and distribute Your Contributions and derivative works thereof
3. **All moral rights** You may have in Your Contributions, to the extent assignable by law

This assignment includes all rights protected by copyright law, whether now known or later developed, and whether or not currently recognized in all jurisdictions.

## 3. Grant of Patent License

You hereby grant to AInvirion a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer Your Contributions.

## 4. Representations and Warranties

You represent and warrant that:

1. **Original Work**: Each of Your Contributions is Your original creation
2. **Legal Right**: You have the legal right to assign the copyrights and patents in Your Contributions to AInvirion
3. **No Conflicts**: Your Contribution does not violate any agreement You have with any third party, including Your employer
4. **No Third-Party Rights**: Your Contribution does not include any third-party code, content, or other materials unless You have explicit permission to include them
5. **Employment**: If You are employed, Your employer has waived all rights to Your Contributions, or You are contributing outside the scope of Your employment

## 5. Employer Rights

If Your employer(s) has rights to intellectual property that You create, You represent that:

1. You have received permission from Your employer to make Contributions on behalf of that employer, OR
2. Your employer has waived such rights for Your Contributions to AInvirion, OR
3. Your Contributions are made outside the scope of Your employment

**If You cannot make these representations, You must obtain written permission from Your employer before contributing.**

## 6. Support and Warranty Disclaimer

You are not expected to provide support for Your Contributions, except to the extent You desire to provide support. You may provide support for free, for a fee, or not at all.

YOUR CONTRIBUTIONS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF MERCHANTIBILITY OR FITNESS FOR A PARTICULAR PURPOSE.

## 7. Notification of Changes

You agree to notify AInvirion of any facts or circumstances of which You become aware that would make Your representations in this Agreement inaccurate in any respect.

## 8. AI-Generated Code

If You use AI coding assistants (including but not limited to GitHub Copilot, ChatGPT, Claude, or similar tools):

1. You must disclose such use in Your pull request
2. You represent that the AI-generated code does not infringe third-party copyrights
3. You accept full responsibility for any IP issues arising from AI-assisted Contributions
4. You have verified compliance with the AI tool's terms of service

## 9. Governing Law

This Agreement shall be governed by the laws of the State of Washington, United States, without regard to its conflict of law provisions.

## 10. Entire Agreement

This Agreement constitutes the entire agreement between You and AInvirion concerning Your Contributions and supersedes all prior or contemporaneous agreements and understandings, whether written or oral.

- ✓ Agree to the terms of this Contributor Assignment Agreement
- ✓ Assign all intellectual property rights in your contributions to AInvirion LLC
- ✓ Represent that you have the legal right to make these assignments
- ✓ Understand that all contributions become the exclusive property of AInvirion LLC
