Contributor License Agreement (CLA)
Song & Hymn Writers Foundation
1. Purpose
This Contributor License Agreement (“Agreement”) documents the rights granted by you (“Contributor”) to the Song & Hymn Writers Foundation (“Foundation”) in your contributions to software projects owned by the Foundation. This Agreement is intended to protect the Foundation’s ownership of the codebase while clarifying your rights as a contributor.
2. Definitions
Contribution means any source code, object code, documentation, ideas, or other material that you submit to the Foundation for inclusion in their software.
Project refers to software and related materials maintained by the Foundation, e.g. SongClub or ChurchSongs.
3. Copyright and Ownership
You agree that all Contributions you make are assigned to and become the sole property of the Foundation.
You retain the right to use and re-use your own ideas and general programming skills, but the specific code or documentation you contribute to this Project belongs exclusively to the Foundation.
4. License Grant
By submitting a Contribution, you grant the Foundation:
The irrevocable right to use, reproduce, modify, distribute, and create derivative works of your Contribution.
The right to sublicense these rights to others.
5. Representations and Warranties
You confirm that:
You are legally entitled to make the Contribution.
Your Contribution is an original work and does not knowingly infringe on the rights of any third party.
If your employer has intellectual property rights to your work, you have received permission to contribute on their behalf, or your employer has waived such rights.
6. No Compensation
You understand that your Contributions are made voluntarily. You will not receive payment, royalties, or other compensation for your Contributions unless otherwise agreed in writing.
7. Governing Law
This Agreement shall be governed by and interpreted under the laws of the United Kingdom.
8. Acceptance
By submitting a Contribution to the Project, you acknowledge that you have read and understood this Agreement, and you agree to be bound by its terms.
